AIROS 360, Inc. AFFILIATE AGREEMENT

Definitions
This agreement includes the following terms and definitions:
- “AIROS:” AIROS 360, Inc., the providers of a digital logbook application and website.
- “Commission:” a payment made to the Individual for generating a Qualifying Transaction.
- “Referral:” an individual who completes a Qualifying Transaction.
- “Effective Date:” the date this agreement was accepted by clicking the Accept button.
- “Affiliate:” a person who has an AIROS account and elects to participate in the Affiliate Program.
- “Affiliate Link:” a unique link provided to the Affiliate. The Affiliate provides this link to Referrals to allow the Referrals to subscribe to AIROS and allows AIROS to track the sale to provide a commission to the Partner.
- “Affiliate Program:” an offering from AIROS that provides AIROS users the ability to earn commissions by referring new customers through a unique referral link provided by AIROS.
- “Qualifying Transaction:” a first-time purchase of an AIROS subscription by someone using the Affiliate Link.
Commissions
Eligibility Affiliates earn a commission when a Referral uses the Affiliate’s Affiliate Link at the time of completing a Qualifying Transaction. Only first-time purchases of an AIROS subscription qualify.
One Commission per Referral: Affiliate receives a commission only on first time purchases. Renewals and additional purchases do not qualify.
Ineligible Transactions: The following transactions are ineligible:
- The Referral is renewing an existing subscription.
- The Referral is part of another AIROS partner program.
- Local or federal laws restrict the commission, or the customer opts out of allowing one.
- Fraud, misuse of Affiliate Link, or anything that goes against the spirit of the program.
Commission and Payment
In order to receive commissions, Affiliate must:
- Accept this Agreement;
- Setup Payment Account, through AIROS’s Payment Processors (currently Stripe) and completed all necessary steps;
- Payment Method; Affiliate has provided a valid and up-to-date payment method; and
- Failure to Set Up Payment Account: Affiliate will only receive payment for commissions on purchases made less than 60 days before the Affiliate set up the Payment Account.
Requirements for Payment & Forfeiture
Commission Payment
- Commission Payments: Affiliate commissions will be made after completion of a Qualifying Transaction made through the Affiliate’s Affiliate Link.
- Refunds: If a refund of a Qualifying Transaction is issued after the Commission Payment for that Qualifying Transaction is made, that Commission Payment will be deducted from Affiliate’s next payment.
- One Commission per Transaction: Only one commission will be paid for each Qualifying Transaction.
- Taxes and Fees: Affiliate is responsible for any taxes or fees, including bank fees, related to Affiliate’s commission payments. Any money owed to AIROS will be offset against future commissions.
- Confidentiality: The commission rates and structure in this agreement are confidential. You agree not to disclose these details to any third party without AIROS’s written permission.
Affiliate’s Commission Rates
Affiliates’ Commission Rate is $25 for every Qualifying Transaction.
AIROS will provide Affiliate with one or both of a shareable link and a QR code on Affiliate’s dashboard.
Sharing
Affiliate can:
Use the shareable link on social media, send to Referrals by text, email, and any other way Affiliate wants to promote AIROS.
Affiliate shall not:
- Alter or misuse AIROS’s logos.
- Imply AIROS endorses something it does not.
Proprietary Rights
Proprietary Rights: AIROS retains full ownership of its platform, including its software, services, and content.
Term and Termination
The termination of this agreement occurs when Affiliate ends their participation in the Affiliate Program.
Immediate Termination
AIROS may end the agreement immediately if:
- There is a breach of the terms of this agreement or any other applicable agreement.
- Affiliate engages in illegal activities or violations of applicable laws.
Effect of Termination
- Commissions for Qualifying Transactions completed before termination.
- The Affiliate Link will become inactive.
Representations and Warranties
Right to participate – Affiliate confirms that Affiliate can Accept this agreement and have it be binding.
Disclaimers
The AIROS platform, Partner Portal, and services are provided on an “as-is” basis. No guarantee is made about interruptions or errors. AIROS will make reasonable efforts to correct any issue.
AIROS is not responsible for the actions or reliability of other members, participants, partners, or Partners, including any links or resources they provide, whether on or off the AIROS platform.
Limitations of Liability
No Warranties: AIROS provides the services “as-is” and cannot guarantee that they will be uninterrupted or error-free
General Terms
- Applicable Law: This agreement is governed by Delaware law, and all disputes will be handled in Atlanta, Georgia.
- Force Majeure: If unforeseen events (like natural disasters or internet outages) prevent AIROS from fulfilling obligations, neither party is responsible for delays or failures.
- Severability: If any part of this agreement is found to be invalid, the rest of this agreement will still apply and remain in effect.
- Assignment: Affiliate cannot transfer this agreement to someone else.
Indemnity
The Affiliate shall indemnify, hold harmless, and defend AIROS and its officers, employees, successors, and permitted assigns against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys’ fees, the costs of enforcing any right to indemnification under this Agreement, and the cost of pursuing any insurance providers incurred by the Indemnified Parties relating to any claim of a third party arising out of or occurring in connection with failure by the Affiliate to comply with any applicable laws.
